1. These terms
These Terms of Service ("Terms") are an agreement between you and 13897109 Canada Inc., operating as Rankr AI, Ontario, Canada ("Rankr AI", "we", "us"). They apply to your use of Concierge, including the app at concierge.rankrai.net and its API (the "Service"). By creating an account or using the Service you agree to these Terms, our Privacy Policy and our Data Processing Terms.
2. The Service
Concierge is an AI assistant that replies to Instagram direct messages, Facebook Messenger chats and Instagram comments on behalf of your business, collects details from people who contact you ("leads"), sends you alerts on WhatsApp, and shows conversations in a dashboard. Features described as "coming soon" are not part of the Service until we release them.
3. Eligibility
The Service is for businesses only. You must be at least 18 and have the authority to accept these Terms on behalf of the business you sign up for. "You" means that business.
4. Your account and security
Keep your sign-in details secure and tell us promptly at [email protected] if you think your account has been accessed without permission. You are responsible for activity under your account and for the accuracy of the information you give us.
5. Your content and your leads
You own your content, including your business information, settings and the conversations with your leads. You grant Rankr AI a non-exclusive, worldwide, royalty-free licence to host, copy, process and transmit that content only as needed to provide, secure and support the Service for you. You confirm you have the rights and any notices or consents needed for us to process it.
6. Meta platforms
- You must comply with Meta's terms and policies that apply to Instagram, Facebook, Messenger and WhatsApp, including Meta's Platform Terms and messaging policies.
- You must keep a professional (business or creator) Instagram account and, if connected, a Facebook Page you are authorized to manage.
- Automated messaging is limited to Meta's standard reply window (generally 24 hours after the person's last message). Concierge follows that limit.
- We are not responsible for suspensions, restrictions, outages, or changes to Meta’s platforms or APIs, or for any effect they have on the Service.
7. AI-generated replies
Replies are generated by AI and may sometimes be inaccurate or incomplete. You are responsible for reviewing your concierge's settings (packages, starting prices, service area and other details) and for what your business offers, quotes and agrees to with your customers. The concierge is designed to use only the information you approve and to hand unclear requests to you, but it does not make binding offers on your behalf. When asked, the concierge tells people it is a virtual assistant.
8. Acceptable use
You must not use the Service to:
- break any law, or infringe anyone’s rights;
- deceive or mislead people, including by hiding that replies come from a virtual assistant when asked;
- send spam or unsolicited bulk messages;
- harass, threaten or abuse anyone;
- discriminate against anyone on a protected ground;
- collect sensitive information such as health, financial account, government ID or payment card details through conversations;
- resell, sublicense or provide the Service to others without our written agreement; or
- probe, overload or interfere with the Service, or try to access other businesses’ data.
9. Fees
- Pricing is shown on our Concierge page.
- When paid plans launch: new accounts get a free trial (currently 14 days), then billing for the term you choose unless you cancel before the trial ends. Until then, no fees are charged.
- Terms are paid up front (for example 3, 6 or 12 months) and renew for the same length unless you cancel.
- Prepaid fees are non-refundable, except where the law requires a refund.
- Launch prices stay locked in while you keep renewing without a gap. If your subscription lapses or is cancelled, the launch price is lost and current pricing applies if you return.
- Prices are in US dollars and exclude applicable taxes, which are added where required.
10. Cancellation and termination
You can cancel at any time. Cancellation takes effect at the end of your current paid term (or trial), and the Service keeps working until then. You can also delete your account and data at any time, as described on our Data Deletion page; deletion stops the Service immediately.
We may suspend or end your access if you breach these Terms or Meta's policies, if you do not pay, or if we need to in order to comply with law or protect the Service or others. Where reasonable, we will give you notice first.
11. Data
Our Privacy Policy and Data Processing Terms govern how we handle personal information, including your leads' information.
12. Availability and changes to the Service
We work to keep the Service running, but we do not guarantee any level of uptime, and the Service depends on third-party platforms we do not control. We may add, change or remove features. If we remove a core feature you rely on, we will tell you in advance where reasonable.
13. Intellectual property
Rankr AI owns the Service, including its software, templates, design and documentation. These Terms give you a limited, non-transferable right to use the Service during your subscription. If you send us feedback, we may use it without obligation to you.
14. Confidentiality
Each of us will keep the other's non-public information confidential and use it only to perform under these Terms, except where disclosure is required by law.
15. Disclaimer
To the extent the law allows, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not promise that the Service will be error-free or that it will win you bookings.
16. Limitation of liability
To the extent the law allows, Rankr AI's total liability for any claim relating to the Service is limited to the fees you paid us in the 12 months before the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, goodwill or bookings, including any booking lost because of a missed, delayed or inaccurate reply.
17. Indemnity
You will defend and indemnify Rankr AI against third-party claims arising from your content, your business's dealings with your customers, your breach of these Terms, or your breach of Meta's terms or policies.
18. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. The courts located in Toronto, Ontario have exclusive jurisdiction over any dispute, and both of us agree to that jurisdiction.
19. Changes to these Terms
We may update these Terms. We will post the new version here with a new "Last updated" date and notify you by email of material changes before they take effect. Continuing to use the Service after that means you accept the updated Terms.
20. General
Entire agreement. These Terms, the Privacy Policy and the Data Processing Terms are the whole agreement between us about the Service. If any part is found unenforceable, the rest still applies. You may not assign these Terms without our consent; we may assign them as part of a merger, acquisition or sale of assets.
